Noel Humphreys, Of Counsel in Connell Foley’s Corporate & Business Law Group, authored the article “Appellate Division Decision Shows How Difficult It Is to Get Counsel Fees Awarded Under RULLCA” for the May 2018 issue of the Business Law Section Newsletter, a publication of the New Jersey State Bar Association. The article discusses a recent New Jersey Appellate Division decision that contained two noteworthy statutory interpretations involving the New Jersey Revised Uniform Limited Liability Company Act (RULLCA), which became effective for all limited liability companies (LLCs) in 2014. As Noel discusses in the article, one of these interpretations does not necessarily conform to the statutory language and, if followed, could make it difficult to get an award of counsel fees under RULLCA.
