Thomas Scuderi Speaks on Corporate Entity and Formation Options

ROSELAND, N.J./May 19, 2011 -- Thomas M. Scuderi was a featured presenter at the Bergen County Bar Association−Business Law Section’s “Corporate Entity and Formation Options” seminar held on May 17, 2011 at the Bergen County Bar Association Headquarters located in Hackensack, New Jersey.

The seminar focused on the various concerns that should be addressed by attorneys and business owners when starting a business. The different entity choices − sole proprietorships, general partnerships, limited partnerships, corporations, professional corporations, limited liability partnerships, and limited liability companies − were each discussed in detail. Additionally, the liability and tax concerns involved with each type of entity were addressed. Mr. Scuderi presented on the governance agreements/documents (partnership agreements, shareholder agreements, operating agreements) which are customarily prepared for each entity type.
