Overview

Sara Jane Holland is a seasoned tax lawyer who regularly counsels for-profit and non-profit clients on tax matters resulting from day-to-day business operations as well as significant transactions such as mergers and acquisitions, and partnership formation. She advises business owners on pre-liquidity tax structuring or business succession planning. Sara’s clients range from entrepreneurial medical professionals, to manufacturers, to start-ups.

She drafts legal tax memoranda and legal opinions on an array of complex domestic and cross-border legal tax issues. She has successfully resolved audits and tax deficiency matters with the Internal Revenue Service and state and local taxing authorities.

Sara also has extensive experience drafting, negotiating, and reviewing all manner of transactional agreements.

In many of these instances she worked with the sellers and owners of businesses on income and estate planning, collaborating with tax advisors and accountants to compare and implement the most efficient tax structures before and after an acquisition.

  • Represented regional pest control company in sale to private equity fund - $95 million sale (corporate and tax counsel).
  • Represented manufacturer in sale to private equity fund - $100 million sale (tax counsel).
  • Represented emergency medicine practice in joint venture with regional hospital system (corporate and tax counsel).
  • Represented anesthesiology practice in joint venture with regional hospital system (corporate and tax counsel).
  • Represented urology practice in sale to national practice (corporate and tax counsel).
  • Represented pathology practice in joint venture with regional hospital system (corporate and tax counsel).
  • Represent architecture and engineering firms in acquisitions.
  • Represent international acquirors in F-type reorganizations (asset purchases for federal income tax purposes) (tax counsel).
  • Represent sellers in F-type reorganizations, asset purchases, and equity purchases (tax counsel).

  • Advised U.K. parent company with wholly owned U.S. subsidiary on Permanent Establishment analysis.
  • Advised Icelandic parent company with wholly U.S. subsidiary on supply and distribution structure, employee and operational structure.
  • Represents businesses and business owners under IRS audit.
  • Advise business owners and ultra high-net-worth clients on tax issues such as Qualified Small Business Stock treatment, bad debt deductions, GST planning strategies.
  • Serve as outside general counsel to 501(c)(3) public charitable organizations.
