Cromie and Villani Represent Physicians in Connection with Opening of Ambulatory Surgery Center

ROSELAND, N.J./March 25, 2010 -- Connell Foley partner, John D. Cromie, and associate, Joseph A. Villani, recently represented Harrison Endo Surgical Center, LLC (“HESC”) in connection with the opening of a newly constructed ambulatory surgical center facility located in Harrison, New Jersey. HESC will perform multi-specialty outpatient surgery procedures, including gastroenterology; orthopedic; ear, nose, and throat; pain management and general surgery procedures; and expects to see approximately 3,000 patients per year.

Cromie and Villani represented HESC from project inception through the surgery center facility’s completion. Specifically, Cromie and Villani represented HESC in connection with: (i) the formation and structure of the entity; (ii) the preparation and negotiation of HESC’s membership subscription and operating agreements; (iii) the preparation and negotiation of a lease of the entire third floor of a commercial building located in Harrison, New Jersey for the surgery center facility; (iv) the preparation and negotiation of HESC’s contracts with building contractors for the construction of the surgery center facility; (v) negotiation and closing of a construction and permanent credit facility for the construction and operation of the facility; (vi) obtaining site plan approval from the Town of Harrison to permit the construction of an emergency backup generator; and (vii) advice and guidance on state and federal compliance issues.
